TK Kerstetter is Chairman of NYSE Governance Services, Corporate Board Member focused on corporate board thought leadership issues and governance trends. Headquartered in Nashville, Tennessee, NYSE Governance Services, Corporate Board Member publishes the industry leading Corporate Board Member magazine, in addition to managing a director and C-suite officer database, board research services, and an extensive events and conference education operation.
Currently, Mr. Kerstetter is the producer and co-host of “This Week in the Boardroom,” a weekly on-demand web show filmed at the New York Stock Exchange and also authors “The Board Blog” for corporate directors. In 2011 Mr. Kerstetter spear-headed the launch of the Board Leadership Program which provides corporate secretaries, general counsel, and board leadership with critical updates and high-caliber content offered through a variety of live and online events.
A graduate of Indiana University of Pennsylvania and Harvard Business School Advanced Management Program, he previously served as president and director of the $2 billion publically-held Wilmington Savings Fund Society spanning a 20 year banking career.
Prior to joining NYSE Governance Services, Mr. Kerstetter founded the Bank Directors Training Center in Wilmington, Delaware. In 1994, he authored a guidebook titled, Ten Commandments for Bank Directors: the “Official” Guide Regulators Won’t Publish, which was released as a monograph by the National Association of Corporate Directors.
Mr. Kerstetter has appeared on both CNBC and Fox Business News addressing Corporate Board Member’s annual “What Directors Think” research and various board trends. His director and board governance articles have been highlighted in numerous publications, and he has conducted over two hundred speeches and presentations for national and state associations, public and private companies, and governance-related or banking organizations.[close]

Orin Crouch is the Vice President, Administration at NYSE Governance Services, Corporate Board Member. He has over 20 years of experience in specialized information publishing including financial management, information technology, and strategic planning. Crouch previously was CFO for M. Lee Smith Publishers, a specialized information provider in the human resources and legal publishing fields. He also worked in the consulting division of PricewaterhouseCoopers prior to entering the publishing field.
Crouch has a Bachelor of Arts in Business Administration from Vanderbilt University and a Master of Business Administration degree from the University of Chicago Booth School of Business with areas of concentrations in finance and accounting.[close]

Stephanie Clark is the company’s Senior Vice President, Business Strategy. She is responsible for developing and maintaining strong working relationships with external and internal partners to enhance the company’s position in the governance, risk and compliance (GRC) market and ensure the successful execution of strategic initiatives. During her tenure with NYSE Governance Services, Clark also served as Vice President, Sales and Marketing and in a variety of other roles in the database, events, and circulation departments of Corporate Board Member. Prior to working at Corporate Board Member, she was a marketing manager at M. Lee Smith Publishers LLC, a Brentwood, TN based newsletter publisher and provider of information for human resource practitioners.
Clark has a Bachelor of Business Administration degree with a focus in marketing from Belmont University and a Master of Business Administration degree from Middle Tennessee State University.[close]
Director of Publications and Editor of Corporate Board Member magazine
Deborah Scally is the company’s Director of Publications and Editor of Corporate Board Membermagazine. She is responsible for planning, editing, and producing the quarterly Corporate Board Member magazine, and for the editing, production, and management of all research and supplemental publications for the company, as well as for its online content strategy. Prior to Corporate Board Member’s acquisition by NYSE, Scally served the editor of Corporate Board Member’s sister publication, Bank Director magazine, a position she held since 1993.
Scally holds a Bachelor of Science degree in mass communications/journalism from Middle Tennessee State University and a Master of Liberal Arts degree from St. John’s College in Annapolis.[close]
Chief Financial Officer & Executive Vice President Operations
Ty Francis is the Vice President and Associate Publisher of Corporate Board Membermagazine. Francis is responsible for supporting the company’s overall strategic goals including Corporate Board Member magazine, conferences, and research through leadership and development of key business relationships to grow the market leadership position for the company. He has over 10 years of experience in the magazine and business information industry, starting out at a subsidiary of Dun & Bradstreet.
Francis previously worked for a variety of magazines in the corporate finance, governance and insurance industries. He headed up North American operations for two specialist publishing companies, whose portfolios included IQ Magazine, Boxing News, and Global Reinsurance. Prior to joining Corporate Board Member, Francis served as Publisher of Corporate Secretary.
A native of Wales, Francis has a Bachelor of Arts in Business Administration from Southampton Solent University in England. He moved to New York in 2008, and attended Yale University where he studied digital and print publishing.[close]
Jamie Tassa is the company’s Senior Vice President of Events. She oversees the development and management of all NYSE Governance Services events and webinars. Her functional portfolio includes developing program content, securing speakers, overseeing marketing strategy and branding for all conferences, and working with the company’s sales staff to sell event sponsorships and manage sponsorship deliverables. Prior to NYSE’s acquisition of Corporate Board Member, Ms. Tassa also managed program development forBank Director magazine conferences. Previously, she was founding editor of Southeast Innovations, an online newsletter for venture capital firms covering emerging technology companies throughout the Southeast, and a public relations specialist at Abovo Marketing Group in Atlanta, Georgia, working with a range of start-up technology companies. Tassa received her Bachelor of Arts in Journalism with a focus in public relations from the University of Georgia.

Laura J. Finn is the web editor of boardmember.com. In that role she oversees the writing, editing, and posting of all content on the website. Finn has written and edited corporate governance stories for about ten years, covering topics like the Foreign Corrupt Practices Act, succession planning, shareholder activism, compliance, proxy season trends, executive compensation, and committee-specific concerns. Additionally, Finn manages all of the blogs on boardmember.com, including the commissioning, editing, and publishing of each blog post. In 2013, Finn launched the “Trending in Governance” blog, which she authors. The blog provides short snapshots about what’s hot in corporate governance from week to week.
As well as managing the website, Finn also hosts and produces the Board Governance Series for boardmember.com’s Boardroom Channel and Corporate Board Member magazine. The Board Governance Series is an on-demand quarterly series that provides board members and the c-suite insights on key governance trends. Along with each webcast interview that is posted online, the transcripts are printed in every edition of Corporate Board Member magazine. Previously, Finn worked as assistant editor for Corporate Board Member magazine and she is delighted to continue writing for the magazine.
Finn graduated from Villanova University with a bachelor’s degree in English and holds a Master of Liberal Arts degree in Literature from St. John’s University.
